Version 2026-10, dated 15 October 2026. These Terms of Sale apply to quotations, order confirmations and deliveries by A&K Worldwide Enterprises FZCO, trading as AKDronix ("AKDronix", "we"), to business customers (the "Buyer"). The version attached to or referenced in the quotation applies to that order.
1. Scope and order of documents
- The documents of a contract apply in this order: (1) a signed individual written agreement, (2) our written order confirmation, (3) our quotation, (4) these Terms of Sale.
- The Buyer's own terms apply only if we accept them in writing.
- Later changes to the website or to these Terms do not change contracts that have already been concluded.
2. Business customers only
AKDronix accepts orders only from verified business customers purchasing in the course of their business or professional activity. We do not accept purchases for private, domestic or hobby use. Products may be supplied only for lawful civilian purposes and for destinations, configurations and end uses permitted under applicable law. Buyers must provide accurate business, destination and end-use information. Acceptance remains subject to the required verification and approvals. This policy does not exclude mandatory rights or obligations applicable by law.
3. Inquiry, quotation and acceptance
- An inquiry sent through the website, by email or by WhatsApp is non-binding. It is not an order and does not confirm that a product is available or approved for the Buyer's country.
- Our quotation states the configuration, quantity, price and currency, the Incoterms® 2020 rule with its named place, the payment schedule, the indicative lead time and its validity period.
- A contract is formed only when we issue a written order confirmation. We issue it after the business verification and compliance review in section 4 have been completed.
4. Business verification and compliance review before acceptance
Before we accept an order we review, as a fixed step of our process:
- the Buyer's identity and business status, for example a trade licence or commercial register extract and the name and position of the person signing;
- the delivery country, the end-use country and the intended civilian application;
- whether the product and configuration may be supplied to that destination and end use, and which permits or approvals are required;
- for products or destinations where our review requires it, a signed end-user statement.
We may ask for further information. We decline or suspend an order if information is missing, inaccurate or indicates a prohibited use.
5. Product information
- Technical data are manufacturer figures measured under the manufacturer's test conditions. Values such as range, link distance, endurance and payload depend on configuration, load, weather, altitude and local regulations. "Up to" values are not guaranteed values at maximum payload.
- Technical data do not give any right to operate a product. They do not mean that a product is approved for autonomous flight, flight beyond visual line of sight, flight over people or aerial spraying in any country.
- The binding specification, scope of delivery and documentation language are those stated in the order confirmation. Images may show optional equipment.
- Product names and model designations belong to their manufacturers and identify the products. Their use does not imply an authorised distribution agreement unless stated in writing.
6. Prices, taxes and payment
- Prices, currency and what they include (packaging, transport, insurance, documentation) are stated in the quotation.
- Taxes, duties and fees are allocated according to the agreed Incoterms rule and applicable law. UAE VAT is charged where the law requires it.
- The payment schedule is stated in the quotation. Where we require payment in advance, this is our commercial practice for that order and is agreed in the quotation.
- If payment is late, we may suspend performance after written notice and agree a new delivery date.
7. Delivery, Incoterms and transfer of risk
- Delivery follows the Incoterms® 2020 rule and named place stated in the order confirmation, chosen to suit the mode of transport (for example FCA or CPT for air freight, FOB or CIF for sea freight). Costs, risk and insurance obligations pass as defined by that rule.
- Lead times are indicative until availability and any required approvals have been confirmed. The confirmed delivery date is stated in the order confirmation.
- We inform the Buyer without delay of any expected delay. If a confirmed delivery date is exceeded by more than 60 days for reasons within our control, the Buyer may cancel the affected items and receive a refund of the amounts paid for them.
- Partial deliveries require agreement unless they are reasonable for the Buyer.
- Batteries and other dangerous goods are shipped with the transport documents available for the specific model.
8. Permits and approvals
- Each party obtains the licences, permits and approvals that applicable law assigns to it. For each order we agree in writing who acts as exporter and importer of record and who arranges customs clearance, transport, insurance and approval documents.
- The parties cooperate in good faith and provide the information needed for applications.
- If an authorisation required for the supply is refused, or is not granted within 90 days of application, either party may terminate the affected part of the contract. We refund payments received for goods not delivered. We may deduct only third-party costs that were agreed in the quotation, are documented and are attributable to the Buyer. No deduction is made where the refusal or delay was caused by us.
9. Who is responsible for what
- AKDronix: its own company licence and activities, accurate product and quotation information, its own export and supply obligations, lawful processing of personal data, and the product-safety obligations and remedies that apply to it by law.
- Buyer and operator: accurate business details, truthful end use and destination, its own operating authorisations and staff qualifications, safe integration on its site and lawful use, including lawful processing of images and data collected with the products.
- Agreed in writing for each order: importer and exporter of record, transport, customs, insurance, approval documents, integration and scope of support.
10. Permitted use and prohibited use
Products are supplied only for lawful civilian commercial and professional use. Under this sales policy the Buyer must not use the products, or allow them to be used, for:
- weapons or weaponisation, or for military or combat-related purposes;
- any purpose connected with chemical, biological or nuclear weapons or the means of delivering them;
- terrorism, unlawful surveillance or violations of human rights;
- circumventing sanctions or export controls.
A Buyer who resells products must supply only business end users permitted under applicable law, pass on the obligations of this section and of section 8, and give us end-customer and end-use information on request. Our classification of a product as civilian does not replace any official classification under export-control law.
11. Inspection, defects and returns for repair
- The Buyer inspects the goods on receipt and reports visible transport damage to the carrier and to us promptly, preferably within 7 days, with photographs.
- Other defects are reported within a reasonable time after discovery.
- A report states the order number, serial numbers, a description of the defect and photographs or video. We then issue a return authorisation (RMA) number and explain the next steps. Goods are returned only with an RMA number.
- This section does not limit mandatory rights for hidden defects.
12. Statutory rights, our commitments and manufacturer warranty
- Statutory rights under applicable law remain unaffected.
- A manufacturer warranty applies only as stated in the quotation for the specific model, including its scope, start date, region and handling.
- Normal wear of batteries, propellers and similar parts is not a defect. Defects that already existed at delivery are covered.
- Remedies are repair, replacement, price reduction or, where the defect is material, termination and refund, in accordance with the contract and mandatory law.
13. Cancellation, custom configurations and safety notices
- Business purchases have no general right of return beyond the contract and the law. Cancellation before shipment is possible by agreement; any costs are stated in the quotation.
- Configurations built to the Buyer's specification can be cancelled only as stated in the quotation once production has started.
- We pass on safety notices and recall information from manufacturers without delay and cooperate in corrective actions.
- Spare parts can be quoted on request; availability depends on the manufacturer.
14. Liability
- For ordinary negligence, and where the law permits, our liability is limited to the price of the goods concerned, and we are not liable for indirect loss, loss of profit or loss of production.
- These limits do not apply to fraud, wilful misconduct, gross negligence, death or personal injury, or any other liability that cannot be limited under applicable law, including the UAE Civil Transactions Law.
15. Indemnity
The Buyer indemnifies us against third-party claims and official fines to the extent they result from the Buyer's breach of sections 8 or 10 or from unlawful use of the products by the Buyer or its customers. We notify the Buyer promptly, allow it to take part in the defence and take any contributory fault into account.
16. Breach of the use restrictions
If we have reasonable grounds to believe that section 10 has been breached, we may suspend deliveries, refuse further orders, terminate the contract and inform the competent authorities where the law requires. Warranty rights are affected only to the extent that a defect is connected with the prohibited use or modification.
17. Retention of title
The goods remain our property until full payment, to the extent permitted by the law of the place where they are located.
18. Force majeure
Neither party is liable for delays caused by events beyond its reasonable control, such as government measures, export restrictions, airspace closures, epidemics, war, strikes or transport disruption. The affected party notifies the other without delay and takes reasonable steps to limit the effects. If the event lasts more than 90 days, either party may terminate the affected order; payments for goods not delivered are refunded.
19. Governing law and courts
- Contracts are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai.
- The courts of Dubai have jurisdiction, subject to any mandatory jurisdiction rules.
- Arbitration applies only where the parties sign a separate arbitration agreement and the law permits it for that contract. Contracts concluded by modern technological means that fall under Federal Decree-Law No. 14 of 2023 with a value below AED 50,000 do not contain an arbitration clause.
20. Language
Contract documents are issued in English. Translations are provided for convenience. Where the law requires information to be given in Arabic, that information applies. Nothing in these Terms limits mandatory information rights or data protection rights.
21. Final provisions
If a provision is invalid, the remaining provisions stay in force. Data protection is governed by our Privacy Policy.
